The transaction is aligned with the Group’s strategy to focus on electricity networks to support the electrification of energy consumption
Milan, 16 October 2026 – A2A, through the Parent Company and its subsidiary Unareti, has signed an agreement with Dolomiti Energia for the sale of its combined 91.6% stake in Retragas, a company operating in the regional transmission of natural gas.
The transaction involves the 87.27% stake held by A2A and the 4.33% stake held by Unareti.
Retragas operates a regional natural gas transmission network spanning approximately 394 kilometres, including around 350 kilometres in the Brescia area of Lombardy and 44 kilometres in Trentino-Alto Adige, through which more than 390 million cubic metres of gas are transported annually.
The transaction is part of the Group’s strategy, led by Chief Executive Officer Renato Mazzoncini, to progressively reduce its presence in gas networks and strengthen its electricity distribution activities, in line with the objectives of its Industrial Plan.
The sale will enable A2A to further focus its resources on electricity distribution networks, whose development represents a key driver in supporting Italy’s ecological transition. The electrification of energy consumption, together with the increasing deployment of renewable energy sources, requires increasingly modern, balanced and flexible networks capable of supporting the evolution of the energy system.
Retragas has an Enterprise Value of approximately €64.4 million.
The closing of the transaction is expected by the end of 2026, subject to the fulfilment of the conditions precedent set out in the agreement, including compliance with the requirements under Golden Power regulations.
